1. Acceptance of Terms

UG Franchise LLC provides the Site and the Convention to you subject to these Terms, which we may update from time to time. Material changes will be posted on the Site with a revised “Last updated” date, and continued use of the Site or attendance at the Convention after changes are posted constitutes acceptance of the revised Terms. Certain features of the Site or Event (such as workshops, expo access, or third-party sponsor activities) may be subject to additional posted guidelines, which are incorporated into these Terms by reference.

2. Description of the Convention and Site

The Convention is an in-person event hosted by UG Franchise LLC featuring educational sessions, fitness demonstrations, workshops, an exhibitor/vendor expo, and networking activities related to the health and fitness industry. The Site allows you to register for the Convention, purchase tickets or passes, view schedules and speaker information, and receive Event communications. The Site and Event are provided “AS IS” and “AS AVAILABLE.” UG Franchise LLC does not guarantee that any speaker, session, activity, or exhibitor will appear as scheduled and reserve the right to modify the agenda at its discretion.

3. Registration and Eligibility

To register, you must provide accurate, current, and complete information, including your legal name, contact information, and payment details. You are responsible for maintaining the accuracy of your registration information and for all activities under your registration. Registration is intended for individuals age 18 or older; attendees under 18 must be accompanied by a parent or legal guardian who agrees to these Terms on the minor's behalf. UG Franchise LLC reserves the right to refuse or revoke registration, and to deny entry or remove any attendee from the Event, for conduct that violates these Terms, applicable law, or Event policies, without refund.

4. Registration Fees and Payment

All registration fees are stated in U.S. dollars and are due in full at the time of registration unless otherwise stated on the Site. You represent that you are authorized to use the payment method provided. UG Franchise LLC may change pricing (including early-bird, group, or promotional pricing) at any time prior to your completed registration. Your registration confirmation and badge are personal to you and may not be resold or used for commercial solicitation without UG Franchise LLC's prior written consent.

5. Cancellation, Refunds, and Transfers

• All registration fees are non-refundable and non-cancelable, regardless of the reason, including if you are unable to attend.
• Registrations may be transferred to another individual at no charge, provided you submit the transfer request in writing to convention2027@ufcgym.com at least five (5) business days before the Event, along with the new attendee's full name and contact information.
• If UG Franchise LLC cancels the Event entirely, registered attendees will receive a refund of paid registration fees as their sole and exclusive remedy; UG Franchise LLC is not responsible for any other costs (e.g., travel or lodging) incurred in connection with the Event.
• If UG Franchise LLC postpones or reschedules the Event, your registration will automatically apply to the new date, and no refund will be issued; you may still exercise the transfer right above.

6. Assumption of Risk; Release and Waiver of Liability

Nature of Activities.The Convention may include physical activities such as group workouts, fitness demonstrations, equipment use, and expo-floor interactions (“Activities”). Participation in Activities carries inherent risks of physical injury, including but not limited to muscle strain, sprains, cardiovascular events, and, in rare cases, serious injury or death.

Voluntary Participation and Assumption of Risk. By registering for and/or attending the Convention, you acknowledge that your participation in any Activity is voluntary, that you are physically fit to participate or have consulted a physician regarding your fitness to do so, and that you knowingly and voluntarily assume all risks associated with attending the Event and participating in any Activity, whether or not such risks are described above.

Release.To the fullest extent permitted by law, you release, waive, discharge, and covenant not to sue UG Franchise LLC, its officers, directors, employees, contractors, sponsors, exhibitors, and agents (collectively, the “Released Parties”) from any and all liability, claims, demands, or causes of action arising out of or related to any loss, damage, or injury, including death, that may be sustained by you or your property while attending the Convention or participating in any Activity, whether caused by the negligence of the Released Parties or otherwise, except to the extent caused by the Released Parties' gross negligence or willful misconduct.

Medical Disclaimer. UG Franchise LLC is not a medical provider. Nothing communicated at the Convention or through the Site constitutes medical advice. Consult with a physician before participating in any Activity, particularly if you have a pre-existing medical condition.

7. Code of Conduct

You agree to conduct yourself professionally and respectfully toward other attendees, speakers, exhibitors, and staff. Without limitation, you agree not to:

• Engage in harassment, discrimination, or abusive behavior toward any person based on race, color, national origin, religion, sex, gender identity, sexual orientation, age, disability, or any other protected characteristic;
• Engage in disorderly, disruptive, or unsafe conduct, or interfere with Event operations, speakers, or other attendees;
• Bring any weapon, illegal substance, or other item prohibited by the venue or applicable law onto Event premises;
• Misrepresent your identity or affiliation, or use a registration or badge belonging to another person;
• Solicit, sell, or promote products or services at the Event without UG Franchise LLC's prior written authorization.

UG Franchise LLC may remove any attendee who violates this Code of Conduct from the Event without a refund and may bar the individual from future events.

8. Photography, Recording, and Publicity Release

The Convention may be photographed, filmed, live-streamed, or otherwise recorded by UG Franchise LLC or its designees. By attending, you consent to being photographed or recorded and grant UG Franchise LLC a perpetual, worldwide, royalty-free license to use your name, image, voice, and likeness captured at the Event in marketing, promotional, and archival materials in any medium, without additional compensation or notice to you. If you do not wish to be recorded, notify Event staff on-site so reasonable accommodations can be discussed, though accommodation cannot be guaranteed in all areas of the venue.

9. Website Use, Accounts, and Security

If the Site requires you to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at convention2027@ufcgym.com for any unauthorized use of your account. You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to the Site, other accounts, or related systems; (c) upload viruses or malicious code; (d) scrape, data-mine, or use automated means to access the Site without our written permission; or (e) reproduce, duplicate, sell, or exploit any portion of the Site for commercial purposes without authorization.

10. Privacy

Information you submit through registration, or the Site is collected and used in accordance with our Privacy Policy, available at https://ufcgymconvention.com/privacy, which is incorporated into these Terms by reference. By registering, you consent to receive Event-related communications (including logistics, schedule updates, and marketing from UG Franchise LLC and its Event sponsors) at the contact information provided.

11. Intellectual Property

The Site, the Convention program, and all related content, trademarks (including UFC GYM® and related marks); logos, graphics, and materials are owned by UG Franchise LLC or its licensors and are protected by applicable intellectual property laws. Except as necessary to attend and participate in the Event, you may not copy, modify, distribute, publicly display, or create derivative works from any such content without UG Franchise LLC's prior written consent.

12. Third-Party Links, Sponsors, and Exhibitors

The Site or Event may reference or include third-party sponsors, exhibitors, or linked websites. UG Franchise LLC does not control and is not responsible for the content, products, services, or conduct of any third party. Any dealings you have with sponsors or exhibitors (including purchases or promotions) are solely between you and that third party.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and the Convention are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. UG Franchise does not warrant that the Site will be uninterrupted, error-free, or secure, or that the Event will proceed exactly as scheduled.

14. Limitation of Liability

To the fullest extent permitted by law, in no event shall UG Franchise LLC or the Released Parties be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Site or attendance at the Convention, even if advised of the possibility of such damages. In all cases, UG Franchise's aggregate liability to you for any claim arising out of or related to these Terms shall not exceed the amount you paid for your registration.

15. Indemnification

You agree to indemnify, defend, and hold harmless UG Franchise LLC and the Released Parties from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of any law or third-party right, or your conduct at the Event or on the Site.

16. Force Majeure

UG Franchise LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, weather, pandemic or public health emergency, government order, venue unavailability, labor disputes, or other force majeure events, and may modify, postpone, or cancel the Event as a result.

17. No Third-Party Beneficiaries

Except as expressly stated in these Terms, there are no third-party beneficiaries to this agreement.

18. Notices

UG Franchise LLC may provide notices to you, including changes to these Terms, by email, posting on the Site, or other reasonable means.

19. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any Event-specific policies referenced herein, constitute the entire agreement between you and UG Franchise LLC regarding the Convention and the Site, superseding any prior agreements on the subject.

Governing Law and Venue. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You and UG Franchise LLC agree to submit to the exclusive personal jurisdiction of the state and federal courts located in California for any dispute arising out of these Terms.

Severability and Waiver.If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. UG Franchise LLC's failure to enforce any provision shall not constitute a waiver of that provision.

Assignment. You may not assign or transfer your registration or rights under these Terms except as permitted in Section 5. UG Franchise LLC may assign these Terms in connection with a merger, acquisition, or sale of assets.

Statute of Limitations. Any claim arising out of or related to these Terms or the Event must be filed within one (1) year after the claim arose or be permanently barred.
